AIKA Framework – Professional B2B License Agreement

This Professional B2B License Agreement (“Agreement”) governs all access to and use of the AIKA Framework, an enterprise-level AI identity and knowledge architecture developed and licensed exclusively by Marketing Minded BV, Belgium (EU). By purchasing, receiving, installing or using any AIKA Files, you— the Customer—confirm that you act strictly in a professional or business capacity, and that this Agreement applies in full, without consumer protections.

1. Scope & Parties

This Agreement is exclusively applicable to professional customers (B2B). The Customer expressly confirms that it acquires the AIKA Framework for business use only and does not act as a consumer. Consumer protection legislation, including EU Directive 2011/83/EU and the Digital Content Directive 2019/770, does not apply.

This Agreement is entered into between Marketing Minded BV, BE0552.875.155 (“Licensor”) and the purchasing business entity (“Customer”).

2. Definitions

“AIKA Framework” means the complete multi-layered AI identity, knowledge, indexation and answer architecture, including file structures, directories, schemas, mappings, models, blueprints, documentation, naming conventions, logic, methodology, and any connected architectural standards.

“Files” means all documents, text files, JSON, XML, TXT, HTML, directories, sitemaps, identity files, entities, modules and all other materials delivered by AIKA.

“License” means the strictly limited right to use AIKA within the scope defined by this Agreement.

“Domain” means the single website property for which AIKA is licensed.

3. Applicability

This Agreement becomes binding when the Customer (a) accepts a quote, (b) pays an invoice, (c) receives any AIKA Files, or (d) begins implementing AIKA. Any Customer procurement conditions are excluded unless accepted in a signed written addendum.

4. Nature of AIKA

AIKA is a professional-grade technical architecture. It is not SaaS, not cloud software, not hosted software and not a digital service governed by consumer regulations. AIKA is delivered as static Files that the Customer integrates at their own responsibility.

5. License Grant

Upon full payment, the Licensor grants the Customer a revocable, non-exclusive, non-transferable, non-sublicensable License for one Domain for one year. All rights not explicitly granted are reserved by the Licensor.

Multi-domain or multi-brand use requires separate paid Licenses.

6. Intellectual Property

AIKA Framework® is protected by Belgian, EU, US and international copyright laws and is registered under i-DEPOT 156006. All structures, logic, files, naming conventions, directory designs, methodology and architectural blueprints remain the exclusive property of the Licensor.

7. Delivery & Constructive Delivery

Delivery occurs by providing access to the AIKA ZIP package. Constructive delivery occurs when the ZIP package is made available to the Customer, regardless of whether the Customer downloads it.

8. Fees & Payment Obligations

All fees are payable upfront. No refunds are provided under any circumstances, including non-use, change of plans or project delays by the Customer.

8.1 Project Commencement

No work begins until the full invoiced amount is confirmed as received on the Licensor’s Belgian business bank account. Payment screenshots, confirmations or pending transactions do not constitute receipt of funds.

All timelines, delivery windows and obligations commence only upon confirmed receipt of funds.

9. Customer Obligations

The Customer must keep all AIKA Files confidential and use them solely for the licensed Domain. The Customer is responsible for restricting internal access and preventing leaks.

10. Forensic Identification

AIKA Files may contain non-personal forensic markers unique per Customer, allowing detection of leaks or unauthorized distribution.

11. Absolute Reverse Engineering Ban

Reverse engineering, adaptation, duplication, conversion, derivative works, commercial imitation or competitive use of AIKA is strictly prohibited. Any violation constitutes material breach entitling immediate termination.

12. Prohibited Uses

The Customer may not resell, sublicense, redistribute, publish, leak or expose AIKA Files to third parties.

13. LLM Training & Dataset Ban

AIKA Files may not be used for training, fine-tuning, vectorization or ingestion by any AI model, dataset or data marketplace.

14. Warranties Disclaimer

AIKA is provided “as is”, without warranty of fitness for any purpose, performance, results, uptime, AI selection or ranking.

15. Limitation of Liability

Liability is limited to the amount paid for the License in the preceding 12 months. The Licensor is not liable for indirect, consequential, business, operational or financial damages.

16. Immediate Termination

The Licensor may terminate the License immediately upon any breach, including attempted reverse engineering, unauthorized sharing or failure to pay.

17. Chargebacks, Fraud & Enforcement

Any chargeback, dispute or payment reversal is considered fraudulent and constitutes material breach. The Customer agrees to reimburse the Licensor for all costs, legal fees and damages.

18. Governing Law & Forum

This Agreement is governed exclusively by Belgian law. All disputes fall under the exclusive jurisdiction of the courts of Hasselt, Belgium.

19. Miscellaneous

If any provision is invalid, the remainder remains enforceable. The English version prevails over translations.
